Board Resignation
Occasionally, an association Director decides not to continue service on their board. Serving on a condominium board is voluntary; a Director can resign at any time. When this happens, the resigning Director should fill out an Officer/Director Resignation Form and send it directly to the Florida Department of State, Amendment Section. This filing, which costs thirty-five dollars, immediately removes the resigning Director from fiduciary obligation to the Association. I have appended this two-page form to this report. The resigning Director should make this filing personally.
CV board members sometimes resign from their positions before their terms are completed. When this happens, it is a good idea for the former board member to send an Director/Officer Resignation Form to DBPR, to make sure that the exDirector is relieved of fiduciary duty to the Association and the Membership. After a Director resigns, the Board should fill the vacant position, according to the Association’s governing documents. The Association’s Property Manager or Attorney can help with this. The Association also needs to make an Amended Annual Filing with DBPR, and a new Officers/Delegate form needs to be filed at UCO.
