Corporate Seal

There does not seem to be a Florida law requiring corporate seals. Their purpose seemed to be a way to have consistent proof that documents were approved by a board that had high turnover of persons signing documents. Is this a UCO requirent for the same reason? Is this in UCO bylaws or association bylaws? There is a Florida law addressing what the seal contains. Do Century Village seals comply with this law? If you know the answer to any of these questions, please contact me using the Contact Us link at the botton of the page.

Florida Statutes §617.0302(3) states: Every corporation not for profit organized under this chapter, unless otherwise provided in its articles of incorporation or bylaws, shall have power to adopt, use, and alter a common corporate seal. However, such seal must always contain the words "corporation not for profit."

CV Associations need to have a corporate seal to perform certain business functions. This seal should not leave the property. Occasionally, for a variety of reasons, a Board can’t put their hands on their seal. Not a problem; a new seal can be ordered from Amazon for about twenty-five dollars. Stop by UCO if you need help with this.
