The 1994 transfer behind the roadway arrangement
The attached six-page document is a recorded Memorandum of Agreement. It references a Roadway Agreement dated January 26, 1994, between Village Management, Inc., and United Civic Organization, Inc. (UCO).
The memorandum states that Village Management conveyed specified roads, swales, guardhouses, and common areas to UCO in connection with UCO’s agreement to maintain and operate that property and the other terms of the Roadway Agreement.
Know the agreement. Understand the responsibility.

Property identified in Exhibit A
The exhibit’s headings identify the following property. Each entry is limited by its legal description; a heading is not a boundary map.
Roadway and entrance entries
- Century Boulevard and Guard Gate
- North Drive Extension
- North Drive
- East Drive
- West Drive
- Lincoln Street
- Okeechobee Entrance
Other area entries
- Bus Storage Area
- Dover Reserve Areas
- Bedford Area
- Somerset Area
- Park Area in Greenbrier Condominium
- Northwest Corner of Wellington Condominium
Some entries refer to particular strips or parcels near a subdivision. They do not convey the entire subdivision merely because its name appears. “Dover Reserve Areas” is a property-description heading, not a reference to financial reserve accounts.

How to locate the recorded memorandum
Recording date: June 30, 1994.
Official Records: Book 8328, pages 1533–1538.
Recording number shown: 94-227734.
These references can help UCO, association counsel, or a title professional find the record through the Palm Beach County Clerk & Comptroller. Search subsequent instruments as well before concluding that the historical arrangement remains unchanged.
The supplied scan is marked “Not a Certified Copy.” Obtain the appropriate official or certified record when needed for a transaction or legal proceeding.
Ownership and maintenance can differ
The entity holding title may not be the only entity with duties or use rights. An easement or agreement can allocate responsibilities separately.
Do not assume that proximity to an association building makes a road association property, or that UCO coordination proves UCO owns every roadway. Ask about the particular road segment and the recorded instruments affecting it.
Start coordination with UCO
UCO’s current resources list roads among its common-interest responsibilities. Its office is a sensible starting point for obtaining the current document package and identifying the responsible contact.
Request the full January 26, 1994 Roadway Agreement, this memorandum, the conveyance instruments and easements, and all later amendments. Ask whether there is a consolidated copy and whether counsel has prepared an explanation of current responsibilities.
Questions the documents should answer
- Which roadways, parcels, and facilities are covered?
- Who are the original parties, and who holds their rights and duties today?
- Who handles routine repairs, resurfacing, drainage, signs, and lighting?
- How are costs allocated, and what approval is required for major work?
- What access rights exist for residents, services, and other authorized users?
- Are there restrictions on alterations, equipment, crossings, or utility work?
- How are disputes, defaults, amendments, and termination handled?
These are review questions—not a claim that the agreement contains every listed provision. Record the applicable clause or document reference beside each answer.
Keep related agreements distinct
The 1994 memorandum is different from the full Roadway Agreement, the deed conveying title, and any separate easement. Each may answer a different question. A roadway ownership or maintenance instrument is also different from a traffic-control or law-enforcement arrangement. UCO’s published traffic notice states that PBSO enforces traffic laws within the Village; it does not establish who owns or repairs each road.
The association’s governing documents, UCO arrangements, utility easements, and recreation agreements may also address related subjects. Have counsel reconcile overlapping provisions before committing association funds or authorizing work.
Century Village RoadsA practical board review checklist
- Obtain the complete set. Ask UCO for executed copies and all current amendments, with exhibits.
- Identify the affected location. Use the legal description, map, or survey—not only the road’s informal name.
- Verify the record. Obtain recording references and check subsequent instruments through Palm Beach County official records.
- Get a focused legal review. Ask counsel to explain the association’s specific rights, obligations, and required approvals.
- Coordinate before contracting. Confirm authority before ordering paving, modifying drainage, placing equipment, or altering a roadway.
- Keep an accessible summary. Retain the authoritative documents and a dated responsibility chart with contacts and clause references.
Coordinate first. Contract confidently.
Example: a damaged road edge near your building
Report the location and hazard to UCO and the association manager. Confirm whether the damaged surface is within the roadway arrangement or the association’s own parking area.
Before approving a contractor, determine who may authorize the repair, whether drainage or an easement is affected, and who bears the cost. Keep the approval and scope in writing. Location alone does not settle responsibility.

Use a location-specific responsibility record
Board Synergy recommended practice For a proposed road, swale, entrance, or utility project, record the precise location, legal description or survey reference, controlling owner or operator, relevant instrument, required approval, funding decision, and project contact.
- Obtain the full underlying Roadway Agreement rather than relying solely on its recorded memorandum.
- Check deeds, easements, amendments, and other documents affecting the particular area.
- Ask a qualified professional to assess drainage, access, utilities, and technical effects before work is authorized.
- Keep written approvals, scope, resident notices, completion evidence, and unresolved questions together.
Contractual duty / property rights Ownership, maintenance, use, and cost allocation can come from different documents. UCO procedure Contact routing does not establish who may approve a project. A roadway instrument also does not establish a traffic-enforcement agreement or authorization for towing.
