Use the procedure your association actually follows
Start with Florida law, your governing documents, and adopted meeting rules. Robert’s Rules can supply procedure when applicable, but cannot override those sources. Small boards may use different formalities from a large membership meeting; confirm whether a second or other step is required rather than treating it as universal. [source]
A tidy motion cannot cure missing notice, lack of authority, a missing owner approval, or lack of quorum. Distinguish the directors deciding board business from owners voting at a membership meeting.
Walk through a fictional repair decision
- Prepare: The agenda identifies gutter repair. The board has the required notice, quorum, proposals, and authority.
- Move: “I move to approve the gutter repair described in Proposal A dated [date], for no more than $2,400 from the authorized operating account.”
- Clarify: The chair states the motion and handles any required second. Directors and owners participate under their applicable rules.
- Amend: A director proposes reducing the maximum to $2,200. Resolve that amendment first through the proper procedure.
- Vote: The chair restates the final motion, obtains the vote, and announces whether the required threshold was met.
- Implement: The minutes record the decision and each director’s vote or abstention; an authorized person handles the contract and follows completion.
Dollar amounts are fictional. Funding, contracting, and approval authority must be checked for the actual project. §718.111(1)(b) addresses the recording of director votes and abstentions. [source]
Words that describe different actions
| Action | Practical meaning |
|---|---|
| Amend | Change the proposal before the final decision. An amendment’s adoption is not adoption of the main proposal. |
| Postpone to a stated time | Plan to return to the issue at a specified later time through the applicable procedure. |
| Lay on the table | Under Robert’s Rules, temporarily set business aside for something urgent; it is not the ordinary way to kill a proposal or schedule a later discussion. |
| Reconsider | Revisit a vote under applicable eligibility and timing rules. It is not an unlimited restart button. |
| Recess / adjourn | Pause the meeting / end it. Check notice requirements before continuing business later. |
These are explanations, not a complete parliamentary manual. Ask the chair or adviser to identify the correct motion for the intended result. [source]
The secretary’s decision record
| Record | Prompt |
|---|---|
| Exact final motion | What was approved, including scope and spending limit? |
| Vote and result | Who voted for, against, or abstained; what threshold applied? |
| Implementation | Who is authorized to act and what is the next step? |
| Follow-up | Due date, completion evidence, and report-back date? |
Record decisions rather than a transcript of personal exchanges. Keep supporting proposals with the meeting file.
