Before the meeting
Test internet, room audio, telephone access, recording, host permissions, and the backup device. Give a co-host access through authorized controls, not publicly shared credentials. Keep an offline agenda and contact list.
Prepare well, hear owners, make clear decisions, and leave with a plan for action.
Meeting requirementsPractical workflowA board meeting is where directors conduct association business together. Its purpose is to consider information, discuss choices, and make decisions within the board’s authority.
Distinguish board meetings from owner meetings, where members exercise their voting rights on matters requiring owner action. Also check the requirements applicable to committees. Calling a gathering a “workshop” does not settle which meeting rules apply.
The following is an abbreviated summary of the linked 2026 §718.112, not a complete operating procedure or a finding that a meeting complies. The prior page recorded a source check on October 17, 2026; editorial qualifications were added October 18, 2026 without a fresh statutory review. Have counsel confirm current applicability, exceptions, governing documents, and administrative rules for the actual meeting. [1]
| Topic | General summary and review needed |
|---|---|
| Frequency | The referenced provision describes quarterly meetings for residential associations with more than 10 units and owner-question opportunities at least four times annually. Confirm applicability and how each obligation is met; track the quarterly schedule separately from special-meeting and special-notice requirements. |
| Ordinary notice | Post notice identifying agenda items at least 48 continuous hours beforehand, except emergencies. |
| Special notice | Nonemergency special assessments and unit-use rule amendments: at least 14 days’ delivery and posting, with proof of notice. |
| Owner participation | Owners may attend, speak on designated agenda items, and record; reasonable participation rules are permitted. |
| Closed sessions | The referenced provision describes limited exceptions concerning personnel and specified attorney/litigation discussions. Have counsel approve the closed-meeting decision for the actual participants and subject matter, including scope and any applicable notice or record requirements. A sensitive topic or attorney attendance alone is not clearance to close a meeting. |
| The referenced §718.112(2)(c) permits directors to communicate by email but prohibits email voting on association matters. [1] This does not establish that a particular exchange, informal poll, or proposed procedure is permissible. Have counsel review the association’s email policy, meeting implications, and records handling; do not use this summary as approval of an association-specific decision method. | |
| Video conference | The referenced video-conference provisions address access details, a physical attendance location, recording, and official-record handling. Confirm the current conditions, platform arrangements, notice, access, retention, and protected material for the particular meeting before using an operational template. |
Budget meetings, assessment decisions, unit-use rule changes, and contract-approval items may involve distinct notice and supporting-document requirements under the referenced statute. Ask counsel/management to identify the applicable provision, notice content, delivery and posting method, deadlines, and contract-access arrangements for each actual agenda item. Do not assume the ordinary-notice summary covers these matters. [1]
Approve the actual procedure before use. Ask counsel to approve operational notice templates, any closed-meeting decision, and association-specific interpretations. Have management map the agenda to the confirmed notice, delivery, posting, document-access, participation, and approval requirements. A checklist or posted notice alone does not certify compliance.
| Track | Record and verify |
|---|---|
| Quarterly schedule and owner questions | Record counsel-confirmed applicability, planned quarterly dates, actual attendance and quorum, owner-question arrangements, and any replacement meeting. Have counsel resolve whether a particular gathering counts. |
| Special meetings and agenda-specific notice | For each budget, assessment, rule, contract, emergency, or other special item, separately identify the controlling source, notice content, delivery and posting steps, supporting documents, applicable deadline, and reviewer. Adding an item to a quarterly agenda does not resolve these requirements. |
| Approved operating materials | Keep the counsel-reviewed notice template and procedure version, review date, responsible manager, and any unresolved exceptions together. Refer a proposed closed session or disputed interpretation to counsel rather than inferring approval from this page. |
A successful meeting needs more than a working link. Plan the notice, room, participant roles, owner speaking process, recording, records custody, and backup before publishing the arrangements. Assign an accountable person and a backup for each task.
A connection is not a voting credential. Confirm identity, role, and the applicable legal participation requirements. A platform’s participant count, “raise hand” button, or poll is not a quorum determination or an authorized voting system.
Section 718.112(2)(b)5 addresses qualifying real-time participation by board or committee members, quorum, voting, and audibility for people physically present. Section 718.112(2)(c)1 requires video-board-meeting notices to identify the video format, hyperlink, conference telephone number, and physical attendance address; it also requires recording and retention as an official record. Owner participation is addressed in subsection (2)(c).
Source: 2026 Florida Statutes § 718.112, reviewed October 19, 2026. Have counsel and management verify applicability, current rules, governing documents, meeting type, and special requirements before adopting an operational procedure.
| Participant or action | What to verify |
|---|---|
| Director joining remotely | Identity, current director status, real-time participation, required audibility, and any matter-specific participation limits. Record eligible attendance and interruptions; do not rely on an idle login. |
| Owner attending a board meeting | Attendance and applicable speaking rights are different from director voting authority. Owner attendance does not add another director to the board quorum. |
| Owner at a membership meeting | Use a separate review of eligibility, unit voting interests, representation, quorum, proxies, ballots, and any authorized electronic voting. Do not copy the director remote-attendance rule into an owner-meeting procedure. |
| Recording viewer / platform poll | Watching later is not real-time attendance. A technology feature does not establish legal authority to cast or count a vote. |
Confirm the announced room is available, accessible, and ready when attendees arrive. Assign an on-site host. Test microphones, speakers, camera coverage, seating, and the ability of remote and in-room participants to hear the discussion and owner comments. Use a shared room audio setup to avoid feedback from multiple open microphones.
Plan for residents who do not have a smartphone, account, or reliable internet. Check the actual telephone experience and physical attendance arrangements rather than assuming video access solves every barrier.
Use a current director roster and an appropriate association record to resolve identity or role questions. Keep a secure attendance record and separate visitors, owners, directors, and support staff. Display names can help, but a name alone is not proof of identity.
Have counsel review any registration or access conditions. Avoid unnecessary identity-document collection or requiring owners to surrender a participation right through a platform consent. Assign a co-host to resolve unfamiliar telephone numbers or connection problems promptly rather than leaving people indefinitely in a waiting room.
The chair should describe the agenda, speaking queue, reasonable applicable rules, how telephone callers signal, and how in-room and remote speakers are recognized. Use consistent moderation and give people a practical way to be heard. Monitor chat for requests or technical problems, but do not assume chat substitutes for required participation or minutes.
Distinguish muting to prevent feedback from restricting a person’s ability to participate. Obtain advice before excluding a participant or changing the speaking procedure in a disputed situation.
A recording supports the meeting record; it does not replace accurate minutes documenting attendance, decisions, votes, and follow-up. Preserve relevant association-business chat or other platform records under the reviewed records procedure.
Test internet, room audio, telephone access, recording, host permissions, and the backup device. Give a co-host access through authorized controls, not publicly shared credentials. Keep an offline agenda and contact list.
Have the chair pause and verify who can participate. Log disconnections and recording gaps. Do not continue voting on the assumption that disconnected directors remain present. Use only a backup that preserves applicable access and notice requirements; seek advice about resuming, recessing, adjourning, or re-noticing if necessary.

Plan the access. Verify the roles. Preserve the record.
Identify the decisions needed. Gather reports, proposals, and recommendations. Confirm authority, quorum requirements, and the appropriate notice process.
Follow the agenda, hear owner comments through a clear process, discuss the options, and state the proposed action precisely before voting.
Prepare minutes, communicate approved instructions, assign tasks, and track unresolved questions through completion.
This is a planning example, not an operational notice template or prescribed legal form. Have counsel approve any notice template and association-specific procedure before use. Arrange owner participation to respect applicable rights, including speaking on designated agenda items.
Useful agenda wording identifies the actual topic: “Consider proposal to repair the east walkway” gives readers more information than “Maintenance.” Include the supporting material directors need to compare choices.
Under § 718.111, record each present director’s vote or abstention in the minutes. Directors cannot vote by proxy or secret ballot, except that officers may be elected by secret ballot. [2]
Confirm the applicable board quorum and approval threshold from law and the documents. Do not confuse an owner-meeting quorum with a board quorum.
Identify the work or policy, the authorized amount where appropriate, conditions, and who will carry it out. Resolve unclear wording before the vote.
As a practical drafting approach, record the meeting details, attendance, motions, outcomes, and assignments. Use concise, neutral language that future directors can understand.
Owners deserve understandable information. Directors also need sufficient time to examine choices and reach a decision.
Do not assume it counts as one of the four required meetings. Section 718.112 does not expressly establish that exception. Notice alone does not establish compliance with the quarterly meeting or owner-question requirements.
Record attendance and the lack of quorum, avoid substantive board action, and arrange another properly noticed meeting. Obtain association counsel’s confirmation before counting the unsuccessful meeting toward compliance.
Board Synergy recommended practice: Confirm director availability before posting, keep a quarterly schedule, and arrange a replacement promptly when attendance prevents the board from completing its work. An annual owner meeting serves a different purpose from a board meeting.

| Stage | What to keep and confirm |
|---|---|
| Notice | Final notice and agenda; posting and delivery dates; applicable proof of notice. Record who checked the deadline. |
| Decision packet | Reports, proposals, contract version, comparisons, and disclosures. Identify the authority and approval threshold for each decision. |
| Meeting record | Attendance, quorum, motions, each director’s vote or abstention, minutes, and any required association recording. Track draft and approved versions clearly. |
| Follow-through | Approved scope and spending limit, person authorized to act, target date, and completion evidence. Bring unresolved items to the next meeting. |

Meeting notice and voting rules may come from Florida law. Bylaws can add governing-document requirements. Management contracts assign contractual duties. UCO procedures govern UCO processes and do not automatically replace association meeting rules. The workflow and file checklist here are Board Synergy recommended practices.
Turn decisions into a clear, neutral association record.
Distinguish director attendance from owner voting interests.
Use the separate membership meeting and election process.
Plan the budget-specific notice and supporting materials.
Identify disclosures and participation limits before a contract vote.
Keep communications from becoming an improper substitute for meeting decisions.
Review applicable authority rather than assuming urgency removes all procedures.
Connect agenda decisions with contract authority and obligations.
Check required postings and owner access arrangements.
Put quarterly meetings and preparation tasks on the annual calendar.
Assign preparation, meeting, and follow-up responsibilities.
Consider whether association business is being conducted and the circumstances. Do not use an informal label to avoid meeting requirements. Seek counsel’s advice when the status of a gathering is unclear.
Board decisions are made by directors. A matter requiring owner approval needs the appropriate owner decision process; owner comments do not replace that approval.
Ask counsel to approve whether an actual statutory exception applies to the particular subject matter, participants, and proposed procedure before excluding owners. Sensitivity alone should not be treated as authority for a closed meeting.
Confirm the applicable emergency provisions and document the facts. Ask counsel about authorization, notice, and follow-up requirements rather than treating ordinary delay as an emergency.
