What is Sunbiz?
Sunbiz is the Florida Department of State’s Division of Corporations service. Its public search lets you look up a corporation’s legal name, document number, status, addresses, reported leadership, and filed documents.
Informed owners. Accountable boards.
How to find an association’s officers and directors
- Open the official search. Use the Sunbiz entity-name search. Public searching does not require purchasing a report.
- Enter the association’s legal name. Use the name on the governing documents, assessment notice, or other association paperwork. If the exact name produces no useful result, try a distinctive portion of it, then refine the search.
- Select the correct corporation. Compare the name, location, and document number. Century Village contains many separate associations; a similar building or subdivision name can lead to a different entity.
- Review the detail page. Look for the officer/director or principal information. Note the names and titles reported there.
- Open the recent filings. Review the latest annual report and any later amended annual report or relevant amendment in the document images or filing history. Check the actual filing date.
- Verify the current board. Compare the filing with recent election results, board appointment and resignation records, and the organizational meeting minutes where officers were selected.

How to read the listing
| Entry | How to interpret it |
|---|---|
| P / President | A reported officer role. Check the current officer-selection record. |
| VP / Vice President | A reported vice-president role. |
| S / Secretary | A reported secretary role. |
| T / Treasurer | A reported treasurer role. |
| D / Director | A reported director role. Combined titles may show more than one capacity. |
| Registered agent | The person or entity designated to receive service of process. This may be an attorney or service company and does not, by itself, establish board membership. |
| ACTIVE | A corporate filing status—not proof that elections, records, reserves, or all other legal duties are in order. |
Titles are supplied in filings and may use different abbreviations or custom wording. Do not count each title as a separate person; one person can hold multiple roles. Likewise, a missing “D” beside an officer’s name does not by itself establish whether that person is a director.
The Division’s annual report instructions explain principal information, multiple capacities, and the registered agent’s role.
Does Sunbiz show who is on the board today?
Not necessarily. Think of the record as information submitted through corporate filings. It can become outdated between updates or contain omissions or errors.
For a current roster, ask the association or manager for the directors’ names and officer roles. If you need to verify the basis for the roster, consult election records and relevant board minutes through the association’s records process.
Sunbiz does not elect or appoint directors. Filing a name does not cure an invalid appointment, and an outdated name does not, by itself, undo a valid election or resignation. Seek legal review if authority to act is disputed.
Board meeting minutesOfficial records inspectionsWhat if the search does not work?
- Try a shorter distinctive name and spelling variations.
- Check whether the legal name differs from the name used informally.
- Use the document number if you have it.
- Ask the association for its exact corporate name and filing number.
Do not assume a failed name search means the association has no board or does not exist.
Searching by a person’s name
Sunbiz also offers an officer or registered-agent search. It can help identify entities connected to a reported name.
People can share names. Confirm the association and supporting filings before drawing conclusions. A listing alone does not prove a conflict of interest or wrongdoing.
What should the board do if its listing is outdated?
Compare the corporate filing with the association’s approved leadership records. Assign an authorized person to coordinate the correction and keep the confirmation in the association files.
The Division’s update-information instructions state that adding or removing an officer or director requires an amendment, the current year’s annual report, or an amended annual report. Use the applicable official filing process and check current fees.
A corporate update does not replace updating the association’s own roster, banking authorizations, manager contacts, website, or other necessary records. A useful board practice is to review these together after elections, appointments, and resignations.
Good governance includes keeping the basics current.
Keep a short verification record
Separate what the public filing reports from what the association’s current records establish.
| Record | What to capture |
|---|---|
| Entity match | Exact legal name, Sunbiz document number, status and identifying address. Check the specific association and building designation. |
| Public filing | Date checked, latest relevant filing date, reported names and titles, and a copy or reference to the filing reviewed. |
| Current association evidence | Election results, appointment or resignation records, and minutes selecting officers; note their dates. |
| Unresolved difference | What differs, the question requiring clarification, person assigned and follow-up date. |
| Update completion | Authorized filing, confirmation and date the resulting public record was checked. |
When the records disagree
- Confirm the corporation first. Similar subdivision names and building letters can produce the wrong match. Use the exact document number when available.
- Compare dates and roles. A newer election, appointment, resignation or officer selection may explain a difference. Officer roles and director seats should be checked separately.
- Ask a focused records question. Identify the filing and the particular discrepancy. Request the relevant current roster or supporting records through the association’s appropriate process.
- Resolve authority before filing. Have an authorized person coordinate a correction supported by the association’s records. Refer a disputed election, appointment or authority question to counsel rather than treating an online edit as the solution.
- Complete other updates separately. A Sunbiz change updates Division of Corporations records; it does not automatically update DBPR, UCO, bank authorizations or management records.
Use the post-election contact and access checklist and DBPR maintenance guide to coordinate follow-through.
Use the information responsibly
Use public filings to identify the correct entity and verify reported roles. For routine association questions, use the association’s designated contact channel rather than treating a personal address in a filing as an invitation to visit.
When sharing a roster, identify the source and date checked. If current membership has not been verified, describe it as “officers and directors reported on Sunbiz,” rather than “the current board.”
