The Millennium UCO Amendment

Understand the historical recreation agreement—and the records needed to explain today’s responsibilities.

What is the Millennium UCO Amendment?

Board Synergy’s background page describes the Millennium UCO Amendment, also called the Millennium Agreement, as a revision to Century Village West Palm Beach’s recreation lease arrangements involving UCO, WPRF, and condominium associations. [1]

The overview identifies two main elements: a rent-increase schedule and an operating agreement addressing recreation expenses and a role for UCO representatives in operating discussions. [1]

Historical documents need current context. This page does not establish which provisions are in effect today. Confirm the applicable executed documents, later amendments, and current arrangements before drawing conclusions about charges, authority, access, or duration.

Two topics to understand

Financial terms

Rent and adjustment provisions

When reviewing the applicable documents, identify the payment provisions, adjustment method, relevant dates, and any later changes. Compare that information with current written billing explanations.

Operating terms

Recreation expenses and participation

Identify how the documents address operating expenses, budgets, representation, and communications. Ask which procedures are currently used and where they are documented.

Explore the historical materials

The following reference PDFs are linked from Board Synergy’s original resource page. Their titles identify the listed materials; they do not confirm adoption by a particular association.

The original page also lists an Operating Agreement and a second Exhibit A file. Consult the original resource page for its complete list. If a link is unavailable, request a complete copy from the appropriate records custodian.

How does it relate to other documents?

ResourceFocus for board review
Millennium amendment and related lease recordsRecreation-related provisions, financial terms, and operating arrangements.
UCO-Association Bi-Lateral AgreementThe contractual relationship between UCO and the individual association.
1999 UCO Model DocumentsHistorical model provisions to compare with the association’s actually adopted documents.
Association declaration, articles, bylaws, and amendmentsThe association’s governing provisions and adoption history.

Keep each instrument’s purpose, parties, and amendments clear. Similar dates or familiar community names do not make separate documents interchangeable.

A practical board review checklist

  1. Collect the complete record. Locate the applicable lease, amendment package, exhibits, execution pages, and subsequent changes.
  2. Confirm applicability. Ask counsel to identify the instruments that apply to the association and distinguish historical provisions from current ones.
  3. Prepare a cost explanation. Obtain current written information identifying charges and their basis. Record any unresolved differences between bills and documents.
  4. Map responsibilities. Identify the appropriate UCO, WPRF, association, or other contact for each question.
  5. Resolve uncertainty in writing. Ask focused questions about provisions, calculations, dates, or procedures and retain the responses.
  6. Create a handover record. Give future directors document locations, current contacts, and a concise list of open issues.

Common questions

Does this page show today’s recreation fee?

No. Obtain current written billing and budget information and check it against the applicable documents. A historical schedule alone is insufficient to establish today’s charge.

Does the Millennium Amendment establish the lease’s current expiration date?

Do not equate an amendment’s term with the underlying lease’s term. Have counsel review the lease and all relevant amendments before relying on an expiration or renewal date.

Does not using the amenities eliminate payment obligations?

Do not assume that it does. Payment obligations depend on the applicable documents and law. Seek advice before withholding payments or telling an owner a charge is optional.

Can we use the historical limited proxy for a new vote?

Treat it as an archival reference. A new proposal needs its own properly prepared materials and applicable approval process.

Trace an amendment back to the instrument it changes

Board Synergy recommended practice Assemble a chronology with each document’s title, parties, execution or recording date, affected provision, exhibits, and later changes. Ask counsel to identify which instrument controls the question rather than treating a historical packet title as a complete current agreement.

Contractual duty Current obligations depend on applicable executed instruments and later changes. Board Synergy recommended practice A document chronology helps review; it does not determine enforceability, renewal, or a unit’s current recreation payment.

Connected agreements and operational guides

These independent educational summaries are navigation aids. Florida law, association governing documents, UCO procedures, contracts, and court orders have different sources of authority. The suggested checklists are Board Synergy recommended practices. Current enforceability, amendments, rates, and rights require the actual record and qualified review.
